Terms of Service

These Terms of Service ("Terms") govern your use of the website ichatai.ae and any services provided by iChat AI Automation ("iChat AI," "we," "us"), a brand of Nobody Knows Entertainment, CWS-1V-904477, 26th Floor, Amber Gem Tower, Ajman, UAE. By accessing our website or engaging our services, you agree to these Terms.

1. Services

iChat AI provides custom AI automation services including, but not limited to: WhatsApp AI agents, appointment scheduling systems, lead capture automations, workflow automations, and custom dashboards. The scope, deliverables, timeline, and pricing of each project are defined in a written proposal agreed upon by both parties prior to project commencement.

2. Proposals and Agreements

Each project begins with a discovery call and a written proposal outlining the scope, deliverables, timeline, and fixed price. Work commences only after the client approves the proposal and an initial payment is received. Verbal agreements, chat messages, or informal communications do not constitute binding project agreements unless confirmed in writing.

3. Payment Terms

• All prices are quoted and invoiced in UAE Dirhams unless otherwise agreed.
• Final pricing depends on complexity and scope.
• A deposit of 50% is typically required before project commencement, with the balance due upon delivery.
• Payments are accepted via bank transfer, credit/debit card, or other methods specified at invoicing.
• Late payments may result in work being paused until outstanding amounts are settled.

4. Delivery Timeline

Most projects are delivered within 1–3 weeks from the date work commences, subject to timely provision of required access, assets, and feedback by the client. Delays caused by the client (e.g., failure to provide credentials, delayed approvals) will adjust the delivery timeline accordingly.

5. Results Guarantee

We stand behind our work. If iChat AI fails to deliver the agreed-upon deliverables as specified in the signed proposal, the client is entitled to a full refund of the amounts paid for that project. This guarantee applies strictly to the deliverables defined in writing; it does not cover indirect outcomes such as revenue generated, conversion rates, or third-party platform changes affecting automation performance.

6. Client Responsibilities

To enable successful project delivery, the client agrees to:

• Provide timely access to required platforms, APIs, and credentials.
• Review and approve deliverables within 5 business days of submission.
• Ensure that all content, data, and materials provided to iChat AI do not infringe on third-party rights.
• Maintain all necessary licenses and agreements with third-party platforms (e.g., WhatsApp Business API, Meta, OpenAI).

7. Intellectual Property

Upon full payment, the client receives full ownership of the custom automations, workflows, and code built specifically for their project. iChat AI retains the right to use generic methodologies, templates, and know-how developed during the engagement. Proprietary tools, frameworks, or infrastructure owned by iChat AI or third-party providers remain the property of their respective owners.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This obligation survives the termination of the engagement for a period of 2 years.

9. Limitation of Liability

To the maximum extent permitted by UAE law, iChat AI's total liability for any claim arising from services rendered shall not exceed the total fees paid by the client for the specific project giving rise to the claim. iChat AI is not liable for indirect, incidental, or consequential damages, including loss of revenue or data.

10. Modifications to Services

Post-delivery modifications, additions, or integrations outside the agreed project scope will be quoted and billed separately. Minor bug fixes and adjustments directly related to the agreed deliverables are included in the support period specified in the proposal (typically 30 days post-launch).

11. Termination

Either party may terminate the engagement with written notice. If the client terminates after work has commenced, fees for work completed up to the termination date are non-refundable. If iChat AI terminates without cause, a prorated refund of unused fees will be issued.

12. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through good-faith negotiation or, if unresolved, through the competent courts of Ajman, UAE.

13. Changes to These Terms

We reserve the right to update these Terms. Material changes will be communicated via our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
